Ocala Business Attorney Chris Cervellera Presents “7 Contract Blind Spots” with Local Bilingual Business Leaders of Ocala (BBLO)
CERV LAW PLLC Attorney Presents Contract Best Practices to Bilingual Business Leaders of Ocala (BBLO)
On Friday, October 30, 2026, Ocala business attorney Chris Cervellera of CERV LAW PLLC, presented “7 Contract Blind Spots That Can Cost Your Business Money” to members of Bilingual Business Leaders of Ocala (BBLO), a local business networking organization dedicated to helping entrepreneurs and business professionals connect, support one another, and grow their businesses.
The presentation focused on common mistakes businesses make when drafting, reviewing, and signing contracts, and how those mistakes can lead to costly disputes, unexpected liabilities, and litigation.
“Many business owners don’t realize their contracts have problems until something goes wrong,” said Cervellera. “A well-drafted contract isn’t just about documenting an agreement. It’s about protecting your business when things don’t go according to plan.”
7 Contract Blind Spots That Can Cost Your Business Money
Drawing on his experience representing Florida businesses in contract negotiations, business disputes, and civil litigation, Cervellera discussed seven frequently overlooked issues that can expose business owners to unnecessary financial and legal risks.
1. Your “Contract” Isn’t Really a Contract
Estimates, proposals, and invoices don’t always establish clear, enforceable agreements. Businesses should ensure their documents clearly identify the parties, scope of work, payment terms, and how the customer accepts the agreement.
2. You’re Contracting with the Wrong Person
A contract may create problems when the person signing lacks authority to bind the business, trust, or property owner. Verifying the correct legal entity and the signer’s authority is an important step before entering an agreement.
3. You Missed Your Construction Lien Rights
Florida construction lien laws impose strict notice, recording, and enforcement deadlines. Contractors, subcontractors, and suppliers should understand their obligations and preserve their lien rights before payment disputes arise.
4. Your “Independent Contractor” Isn’t Really Independent
Labeling a worker an independent contractor or issuing a Form 1099 does not automatically establish independent contractor status. Misclassification can create employment, tax, insurance, and liability concerns.
5. Your Contract Doesn’t Address What Happens When Things Go Wrong
Attorney’s fees, dispute resolution, arbitration, termination, and default provisions can significantly affect the cost and outcome of a business dispute. Contracts should anticipate problems rather than address only successful transactions.
6. Your Scope of Work Is Vague, or Your Change Order Isn’t a Change Order
Unclear scopes of work and undocumented changes can lead to disagreements over pricing, deadlines, and performance. Written change orders and clearly defined responsibilities can help businesses avoid expensive misunderstandings.
7. Your ChatGPT Conversation Could Become Evidence
Businesses increasingly use artificial intelligence tools to draft agreements, respond to customer complaints, and evaluate disputes. However, AI conversations and generated materials are not automatically protected by attorney-client privilege and may become relevant in litigation.
Why Contract Review and Drafting Matter for Florida Businesses
One of the central messages of the presentation was that the cost of preventing a contract dispute is often substantially less than the cost of litigating one.
Business owners frequently rely on generic contract templates, agreements borrowed from other businesses, or contracts generated through online services and artificial intelligence. While these resources may provide a starting point, they may not adequately address the particular transaction, business relationship, or requirements of Florida law.
Through CERV LAW, Cervellera assists businesses with contract drafting, contract review, negotiations, breach of contract claims, and commercial litigation. His work on both the transactional and litigation sides of business law provides perspective on how contract language can influence disputes when business relationships deteriorate.
